licensing fee, you signify your consent and agreement to the terms and

RESTRICTIONS ON USE OF MATERIALS AND/OR PUBLICATIONS
This site is operated and owned by Latimer Clarke Corporation Pty Ltd,
hereinafter referred to as "Latimer Clarke Corp","we","us"
or "our". No publications, materials or images from ATLAPEDIA.COM may be copied, reproduced, republished, downloaded, uploaded, transmitted,
posted or distributed in any way,
EXCEPT THAT
1. you, a teacher, may download PDF(s) of Atlapedia Online's Classroom Resource materials and/or publications to any single computer
AND
2. may further print, reproduce and distribute multiple printed copies of the publications and/or materials to your own class-enrolled students for educational school and/or classroom use only.
PROVIDED THAT
3. you do not sell or receive a consideration for the prints and/or printed copies
4. any printed copy of the publications and/or materials or portion thereof must include a copyright
and trademark notice.
5. you do not use the prints, printed copies and/or PDF publications and/or materials or portion thereof for any other purpose,
such use will be a violation of our copyright and other proprietary rights.
6. you do not use or incorporate the PDF publications and/or materials or portion thereof on
any other Internet and/or Intranet web site, such use is strictly prohibited.
7. you may not sublicense, assign or transfer the license, publications and/or materials
from ATLAPEDIA.COM. Any attempt to otherwise sublicense, assign or transfer
any of the rights, duties or obligations hereunder are void.
IN CONSIDERATION of the school use copyright license fee, the PDF publications and/or materials
from this site, the software, including any files, images incorporated
in, linked to or generated by the software, and data accompanying the software,
collectively hereinafter referred to as the "Software", is licensed
to you on a non-exclusive non-transferable limited basis by Latimer Clarke
Corp subject to the conditions and restrictions outlined above.
We do not transfer title to the Software to you. You own the storage
medium on which the Software is recorded, but Latimer Clarke Corp retains
full and complete title to the Software and all intellectual property rights
therein. You may not redistribute, sell, decompile, reverse engineer, disassemble
or otherwise reduce the Software to a human-perceivable form.
WARRANTIES AND DISCLAIMERS
THE PUBLICATIONS & MATERIALS IN THIS SITE ARE PROVIDED "AS IS" WITHOUT WARRANTY
OF ANY KIND.
LATIMER CLARKE CORP ASSUMES NO RESPONSIBILITY FOR ERRORS OR OMISSIONS
IN THESE MATERIALS. THE MATERIALS COULD INCLUDE FACTUAL OR OTHER INACCURACIES
OR TYPOGRAPHICAL ERRORS.
CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION AND MATERIALS HEREIN;
THESE CHANGES WILL BE INCORPORATED IN NEW EDITIONS OF THE MATERIALS AND/OR PUBLICATIONS. LATIMER

IN NO EVENT SHALL LATIMER CLARKE CORP BE LIABLE FOR ANY DAMAGES WHATSOEVER,
INCLUDING THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS ARISING OUT
OF OR IN CONNECTION WITH THE USE OF THE MATERIALS IN THIS SITE.
JURISDICTIONAL ISSUES
This site is controlled by Latimer Clarke Corp from its offices within
the State of Queensland, Australia. We make no representation that the
materials contained on this site are appropriate for use in other locations,
outside of Australia. Those who do access this site from other locations
do so on their own initiative and are responsible for compliance with local
laws, if and to the extent local laws are applicable.
SUBMISSIONS
Should you or any viewer of the materials respond with information,
feedback, data, questions, comments, suggestions or the like regarding
any Latimer Clarke Corp materials, any such response shall be deemed not
to be confidential and Latimer Clarke Corp and/or its Licensees shall be
free to reproduce, use, disclose and distribute the above mentioned response
material to others without limitation.
You agree that Latimer Clarke Corp and/or its Licensees shall be free
to use any ideas, concepts or techniques contained in your response for
any purpose whatsoever including, but not limited to, developing, manufacturing
and marketing products incorporating such ideas, concepts or techniques.
TERM & TERMINATION
This agreement is effective until terminated by either party. You may
terminate this agreement at any time by destroying all materials obtained
from this and any and all other Latimer Clarke Corp site(s) and all related
prints, documentation and all copies and installations thereof, whether made under
the terms of this agreement or otherwise.
This agreement will terminate immediately upon notice from Latimer Clarke
Corp if, in Latimer Clarke Corp's sole discretion, you fail to comply with
any term or provision of this agreement. Upon termination, you must destroy
all materials obtained from this and any and all other Latimer Clarke Corp
site(s) and all related prints, documentation and all copies and installations
thereof, whether made under the terms of this agreement or otherwise. All
license fee payments are non-refundable should this agreement be terminated
for any reason whatsoever.

YOU ACKNOWLEDGE YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND
AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT
IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US WHICH
SUPERCEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER
COMMUNICATION BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
